CLIPS User Agreement

This CLIPS user agreement (hereinafter referred to as "THIS AGREEMENT") contains the CLIPS terms of use, which have been issued by IWC Payment US Inc. (hereinafter referred to as "THE COMPANY").

Article 1 (Basic Agreement)
THIS AGREEMENT applies to all CLIPS users, and THE COMPANY will consider all users to have agreed with THIS AGREEMENT's contents.

Article 2 (Users)
The term "user" refers to any person who either purchased CLIPS according to THE COMPANY's prescribed procedure (http://www.clips-us.com) or who received CLIPS in a legal manner from a buyer.

Article 3 (Purchase Method)
CCLIPS can be purchased according to the method prescribed by THE COMPANY (http://www.clips-us.com). A single prepaid number may be charged up to a maximum balance of 999,999 cps (CLIPS points). To add cps to your prepaid number balance, please follow the procedure prescribed by THE COMPANY.

Article 4 (Money Exchange / Reissuance etc.)
No refunds are given for CLIPS. Furthermore, no matter what the reason, prepaid numbers for charging CLIPS are not reissued and refunds are not given.

Article 5 (Use Method)
(1) CLIPS may be used at any affiliate that bears the CLIPS mark, which is appointed by THE COMPANY, as long as it is within the range of the balance which was determined at the moment of purchase.However, inquiries of records of history of use etc. are only accepted by THE COMPANY in written form by mail.
(2) All users agree that concerning the use of CLIPS, there may be certain affiliates for which users with a certain age are not eligible for use of these affiliates.

Article 6 (Period of Validity)
CLIPS will remain valid for one year from the last time it was charged.

Article 7 (Balance / History Reference)
Users can check their current available balance at the CLIPS home page, which is operated as prescribed by THE COMPANY (http://www.clips-us.com).

Article 8 (Transactions with Affiliates)
(1) Transactions between users and affiliates will be the full responsibility of the user. THE COMPANY in no way represents, nominates or vouches for CLIPS affiliates.
(2) THE COMPANY does not bear any responsibility for transactions made between users and affiliates.

Article 9 (Maintenance, Services etc.)
Users agree that there may be occasions, such as CLIPS system maintenance or service work, but also natural disasters, breakdowns of connection lines or any other unavoidable reasons, in which cases CLIPS may become unusable.

Article 11 (CLIPS Possession Warnings)
1. Information concerning the use and administration of CLIPS and the prepaid number for charging CLIPS is the sole responsibility of the user. In case of damage or loss incurred by the user due to mistakes or misuse by third parties with regards to the use and administration of CLIPS by users, THE COMPANY will not be held responsible in any way.
2. Concerning the use etcetera of CLIPS by users, in cases where damage or loss was incurred by the user due to conduct which goes against public order and standards of decency, or actions that are liable for criminal persecution, THE COMPANY will not be held responsible in any way.

Article 12 (Limitations of Use / Forfeit of User Rights)
In case the user supplies false information to THE COMPANY while purchasing CLIPS, or by using CLIPS causes or is intent on causing losses or disadvantages such as obstruction of business or administration of THE COMPANY or any of its affiliates, or any other cases in which THE COMPANY considers a user's actions wrong or inappropriate, THE COMPANY is entitled to limit the use of CLIPS or even forfeit user rights for the said user.

Article 13 (Use of Personal Information)
THE COMPANY may, with the purpose of conducting business and administration in order to provide services concerning CLIPS and in accordance with governing laws and regulations, run an administration that handles information which was provided by users during the purchase or use of CLIPS as well as information concerning users which was generated while using CLIPS, or any other personal information of the said user (hereinafter to be named "personal information") obtained by THE COMPANY, and within the scope of said purpose will be allowed to handle personal information. The user will be considered to have agreed that THE COMPANY may, for the previously said purpose and only when absolutely necessary (system administration, callcenter operation), provide personal information to third parties.

Article 14 (Changes in the Agreement)
THE COMPANY can make changes to THIS AGREEMENT of which users will be notified in advance on the CLIPS home page, taking a fixed notification period into account. When the notification period expires the changes will be taken in effect automatically.

Article 15 (Agreement Jurisdiction)
THIS AGREEMENT is designed to be concluded in English. The translation in any language has no legal force. The terms and conditions of THIS AGREEMENT in English language shall be binding and prevail in all respects. In the event of any legal disputes or lawsuit relating to THIS AGREEMENT, THE COMPANY will assume the right to deignate a court to handle any court disputes as the exclusive governing court of law for the first trial court.
